These Terms govern your access to and use of the websites, applications and services provided by Eastall Software Systems Limited (“Eastall”, “ESS”, “we”). By using our services you agree to them.
1. Acceptance
By creating an account, accessing, or using any Eastall service you confirm that you accept these Terms and have the authority to do so on behalf of yourself or the organization you represent. If you do not agree, do not use the services.
2. Accounts
Some services require an Eastall account. You are responsible for the accuracy of your account details, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. We may provision, suspend, or restrict accounts to protect our users and systems.
3. Acceptable use
You agree not to misuse the services. Prohibited activities are described in our Service Restrictions and include, without limitation, unlawful activity, abuse of resources, interfering with others' use, and attempting to breach security.
4. Services and availability
We work to keep our services available and reliable, and publish real-time uptime at status.eastall.software. We may modify, suspend, or discontinue features, and we perform maintenance that may cause temporary interruptions. Services are provided on an “as available” basis.
5. Fees and billing
- Paid plans are billed through our payment provider, Stripe, on the cycle shown at purchase.
- Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for.
- Subscriptions renew automatically until cancelled. You can cancel at any time; access continues to the end of the paid period.
- Refunds are governed by our Refund Policy.
6. Intellectual property
The services, including all software, branding, and content we provide, are owned by Eastall or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the services in accordance with these Terms. You may not copy, resell, or reverse engineer them except as permitted by law.
7. Your content
You retain ownership of the content you submit to the services. You grant us the limited licence necessary to host, process, and display that content solely to operate the services for you. You are responsible for your content and for having the rights to use it.
8. Disclaimers
To the fullest extent permitted by law, the services are provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Nothing in these Terms limits rights you have under the New Zealand Consumer Guarantees Act where it applies.
9. Limitation of liability
To the fullest extent permitted by law, Eastall will not be liable for indirect, incidental, or consequential loss, or loss of profits, data, or goodwill. Our total liability arising out of or relating to the services is limited to the amount you paid us for the service in the 12 months before the claim.
10. Termination
You may stop using the services at any time. We may suspend or terminate your access if you breach these Terms or to protect our users or systems. On termination, your right to use the services ends; certain provisions survive, including sections 6–9.
11. Governing law
These Terms are governed by the laws of New Zealand, and the courts of New Zealand have exclusive jurisdiction over any dispute, without limiting any mandatory rights you have in your place of residence.
12. Changes
We may update these Terms from time to time. Material changes will be reflected in the date above and, where appropriate, notified to you. Continuing to use the services means you accept the updated Terms.
