Terms of Service.

Please read these terms carefully before using any Eastall Software Systems product or service.

1. Acceptance of Terms

By accessing or using any Eastall Software Systems service (including eastall.software, eastallss.com, eastallsoftware.com, eCloud, ePanel, eAuth, PinPoint, and any commissioned services), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our services.

These terms constitute a legally binding agreement between you and Eastall Software Systems Limited, a company incorporated in New Zealand.

2. Services

Eastall Software Systems provides virtual private server hosting (eCloud), server management software (ePanel), authentication infrastructure (eAuth), worksite management tools (PinPoint), and custom-made commissioned services (eComm). We reserve the right to modify, suspend, or discontinue any service at any time. Where practicable, we will provide a minimum of two (2) days' notice to affected customers prior to any such change.

Service availability is subject to our published uptime SLA. Scheduled maintenance will be communicated in advance via email and our status page at status.eastall.software. In the event that page is unavailable, an alternative status page is accessible at hetrix.eastall.software.

3. Accounts

You must be at least 13 years of age to create an account. By creating an account, you represent and warrant that you meet this requirement. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

You may not share your account credentials with third parties or create accounts on behalf of others without their express consent. ESS reserves the right to refuse registration or cancel accounts at its discretion.

4. Acceptable Use Policy

You agree not to use ESS services for any of the following purposes:

  • Hosting, distributing, or facilitating illegal content of any kind
  • Sending unsolicited bulk email (spam) or operating spam infrastructure
  • Conducting denial-of-service (DoS/DDoS) attacks against any target
  • Cryptocurrency mining without prior written approval from ESS
  • Hosting or distributing malware, ransomware, or exploit kits
  • Violating any applicable laws or regulations
  • Infringing on the intellectual property rights of any third party
  • Activities that unreasonably strain or disrupt shared infrastructure
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity

Violation of this Acceptable Use Policy may result in immediate service suspension or termination without refund.

5. Billing & Payments

Paid services are billed monthly in advance. Payment is processed via Stripe. By subscribing to a paid plan, you authorise ESS to charge your payment method on a recurring basis until you cancel your subscription.

Services may be suspended if payment fails. You will receive advance notice before suspension where reasonably possible. ESS reserves the right to terminate billing and service access at any time for any reason, including but not limited to policy violations, non-payment, or abuse. Refunds are governed by our Refund Policy.

6. Termination

You may cancel your account at any time through the billing portal or by contacting support. Cancellation takes effect at the end of the current billing period unless otherwise agreed.

ESS reserves the right to terminate or suspend accounts at any time for any reason, with or without prior notice. Upon termination, your right to use ESS services ceases immediately. We will make reasonable efforts to provide advance notice except where immediate termination is necessary to protect the security or integrity of our infrastructure.

7. Data & Backups

You are solely responsible for maintaining independent backups of any data, files, or content stored on ESS infrastructure. While ESS may perform routine backups as part of certain service tiers, we do not guarantee the availability, completeness, or recoverability of any backup.

Upon termination of your account, ESS may delete all data associated with your account after a reasonable retention period of no less than seven (7) days following termination, unless prohibited by applicable law or a longer period is specified in your service agreement. You are responsible for exporting any data you require prior to termination.

8. Intellectual Property

All software, interfaces, documentation, branding, and other materials provided by ESS as part of its services remain the exclusive intellectual property of Eastall Software Systems Limited. Nothing in these terms grants you any ownership interest in ESS products or services.

You retain ownership of any content or data you upload or create using ESS services. By using our services, you grant ESS a limited, non-exclusive licence to host, store, and process your content solely for the purpose of delivering the services to you.

You must not copy, reverse-engineer, decompile, or create derivative works from any ESS software or services without our prior written consent.

9. Indemnification

You agree to indemnify, defend, and hold harmless Eastall Software Systems Limited and its officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of ESS services, your breach of these terms, or your violation of any law or the rights of any third party.

10. Disclaimer of Warranties

ESS services are provided on an "as is" and "as available" basis without warranty of any kind. To the maximum extent permitted by applicable law, ESS expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

ESS does not warrant that the services will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Eastall Software Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these terms or your use of ESS services shall not exceed the total amount paid by you to ESS in the three (3) months immediately preceding the event giving rise to the claim.

12. Force Majeure

ESS shall not be liable for any failure or delay in the performance of its obligations to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, power failures, internet or telecommunications outages, or third-party service failures. ESS will use reasonable endeavours to notify affected customers and to restore services as promptly as practicable.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of New Zealand for the resolution of any dispute arising out of or in connection with these terms or your use of ESS services.

14. General

Severability. If any provision of these terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement. These terms, together with our Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and ESS with respect to the subject matter herein and supersede all prior or contemporaneous understandings, agreements, or representations.

No Waiver. ESS's failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer any of your rights or obligations under these terms without the prior written consent of ESS. ESS may assign its rights and obligations without restriction.

15. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email and by posting the updated terms on this page with a revised "Last updated" date. Continued use of ESS services after such changes constitutes your acceptance of the new terms.
